Governing your access to and use of the Recal platform at recal.co

These Terms of Use govern your access to and use of the Recal platform. Please read them carefully.

These Terms of Use (the ‘Terms’) constitute a legally binding agreement between you (‘User’, ‘you’) and Maud Naett, trading as Recal (‘Recal’, ‘we’, ‘us’), governing your access to and use of the Recal platform, website, and associated services available at recal.co (collectively, the ‘Platform’).

By creating an account, accessing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. About Recal

Recal is a web-based Software as a Service (SaaS) platform designed for property managers, villa managers, boutique agencies, family offices, and private property owners. The Platform provides an integrated command centre for managing property portfolios, including calendar management, bookings, task and team coordination, document storage, contact management, and property communications.

Recal is not a booking platform, online travel agency, or channel manager. It does not facilitate transactions between property managers and guests, and does not act as an agent, broker, or intermediary in any property rental transaction.

2. Eligibility and Account Registration

The Platform is intended for professional use by adults aged 18 or over. By registering, you represent that:

  • you are at least 18 years of age;
  • you are using the Platform for professional or business purposes;
  • all registration information you provide is accurate, complete, and up to date;
  • you are authorised to enter into these Terms on behalf of any business or organisation you represent.

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at info@recal.co if you become aware of any unauthorised use of your account. Recal accepts no liability for losses arising from unauthorised access resulting from your failure to keep credentials secure.

3. Account Types

Recal supports two account types:

  • Standard account: intended for property managers, agents, and owners who manage properties through the Platform and who select and pay for a subscription tier.
  • Staff account: intended for team members invited by a Standard account holder. Staff accounts are created by invitation only and are associated with the inviting account's subscription. Staff users operate within the permissions assigned by the account holder.

Account holders are responsible for all activity occurring under their account, including activity by staff accounts they have invited.

4. Subscription and Access

Access to Platform features is governed by the subscription tier associated with your account. The available tiers and their respective features are described in detail on the Pricing page at recal.co/pricing and in the Terms and Conditions of Sale.

Recal reserves the right to modify, add, or remove features from any subscription tier with reasonable prior notice. Material changes affecting paid tiers will be communicated by email at least 30 days in advance.

Free tier accounts are provided without warranty or service level guarantees. Recal reserves the right to limit, suspend, or discontinue free tier access at any time with reasonable notice.

5. Acceptable Use

5.1 Permitted use

You may use the Platform solely for lawful professional purposes consistent with its intended function as a property management operational tool. You may invite staff members, collaborate with co-hosts and owners, manage your property portfolio, and use the Platform's features within the scope of your subscription.

5.2 Prohibited conduct

You must not:

  • use the Platform for any purpose that is unlawful, fraudulent, or contrary to public order;
  • attempt to gain unauthorised access to the Platform, other users' accounts, or any system or network connected to the Platform;
  • introduce, upload, or transmit malicious code, viruses, ransomware, or any harmful software;
  • scrape, crawl, or extract data from the Platform by automated means without our prior written consent;
  • reverse engineer, decompile, or attempt to derive the source code of the Platform;
  • use the Platform to process or store data in violation of applicable data protection laws;
  • resell, sublicense, or make the Platform available to third parties outside your organisation without authorisation;
  • use the Platform in a manner that could damage, overload, or impair its performance or the experience of other users;
  • post, share, or transmit content that is defamatory, offensive, or in violation of third-party rights.

Recal reserves the right to suspend or terminate accounts that violate these provisions, without prior notice where necessary to protect the Platform or other users.

6. User Content and Data

You retain ownership of all content, data, and information you upload or input into the Platform (‘User Content’), including property details, booking records, documents, contacts, and files. By using the Platform, you grant Recal a limited, non-exclusive, worldwide, royalty-free licence to host, store, process, and display your User Content solely as necessary to provide the Platform services to you.

You are solely responsible for the accuracy, legality, and appropriateness of User Content. You warrant that your User Content does not infringe the intellectual property rights or privacy rights of any third party, and that you have all necessary consents to share any personal data included in User Content (such as guest or contact information) with Recal for the purposes of platform functionality.

Recal does not sell, share, or use User Content for its own commercial purposes beyond operating the Platform. Upon account deletion, User Content will be deleted immediately, as described in our Privacy Policy.

7. Intellectual Property

All intellectual property rights in the Recal Platform — including its software, design, interface, logos, trademarks, databases, and all original content — are owned by or licensed to Maud Naett (trading as Recal). Nothing in these Terms transfers any intellectual property rights to you.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform in accordance with these Terms and your active subscription. This licence terminates immediately upon cancellation or termination of your account.

8. Third-Party Services and Integrations

The Platform integrates with third-party services including AWS, Stripe, Pusher, Mapbox, Resend, PostHog, and Sentry. Your use of these services may be subject to their own terms and privacy policies. Recal is not responsible for the practices, availability, or conduct of third-party providers.

In particular, payment processing is handled entirely by Stripe. Recal does not store your card or bank details. By subscribing to a paid tier, you also agree to Stripe's Terms of Service.

9. Availability and Maintenance

Recal aims to maintain high platform availability but does not guarantee uninterrupted, error-free service. The Platform may be temporarily unavailable due to scheduled maintenance, technical issues, or events outside our reasonable control.

We will endeavour to provide advance notice of planned maintenance windows where possible. Emergency maintenance may be carried out without notice where necessary to protect platform security or stability.

10. Disclaimer of Warranties

The Platform is provided ‘as is’ and ‘as available’. To the fullest extent permitted by applicable law, Recal makes no warranties, express or implied, regarding the Platform, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or continuous availability.

Recal does not warrant that the Platform will meet your specific operational requirements, that all data entered by users will be accurate, or that use of the Platform will produce any particular business outcome.

11. Limitation of Liability

To the fullest extent permitted by applicable Spanish and European law, Recal's total liability to you for any claim arising out of or in connection with these Terms or your use of the Platform — whether in contract, tort, or otherwise — shall not exceed the total subscription fees paid by you in the three months preceding the event giving rise to the claim.

Recal shall not be liable for:

  • indirect, incidental, consequential, or punitive losses;
  • loss of revenue, profit, data, or business opportunity;
  • losses arising from third-party service failures (including AWS, Stripe, Pusher, or Mapbox);
  • losses caused by your failure to maintain adequate data backups;
  • any loss or damage arising from actions or omissions of third parties, including other platform users.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded.

12. Indemnification

You agree to indemnify and hold harmless Maud Naett (trading as Recal), its affiliates, and its representatives from and against any claims, damages, losses, penalties, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform in breach of these Terms; (b) your User Content; or (c) your violation of any applicable law or third-party right.

13. Termination

You may terminate your account at any time via your account settings or by contacting info@recal.co. Termination takes effect at the end of your current billing period. No refunds are issued for the remaining portion of a paid billing period, unless required by applicable law.

Recal may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent or abusive conduct, or if required to do so by law or court order. Where termination is for cause, no refund will be issued.

Upon termination, your access to the Platform will cease. You should request a copy of any User Content you wish to retain before terminating your account by contacting info@recal.co. Upon account deletion, your User Content will be deleted immediately, subject to retention obligations described in our Privacy Policy.

14. Modifications to These Terms

Recal may update these Terms of Use from time to time. When material changes are made, we will notify you by email and/or via a prominent notice within the Platform, with at least 30 days' notice. Continued use of the Platform after the effective date of updated Terms constitutes your acceptance. If you do not agree with the changes, you should cancel your account before the effective date.

15. Governing Law and Dispute Resolution

These Terms are governed by Spanish law. For disputes with consumers, the courts of the consumer's place of residence shall have jurisdiction in accordance with applicable European consumer protection legislation. For disputes between business users and Recal, the parties submit to the exclusive jurisdiction of the courts of Ibiza (Islas Baleares), Spain.

We encourage users to contact us at info@recal.co in the first instance to resolve any dispute informally before initiating formal legal proceedings.

16. Miscellaneous

  • Severability: if any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • Entire agreement: these Terms, together with the Privacy Policy, Cookie Policy, and Terms and Conditions of Sale, constitute the entire agreement between you and Recal regarding the Platform.
  • No waiver: failure by Recal to enforce any provision of these Terms on any occasion does not constitute a waiver of its right to enforce it in the future.
  • Assignment: you may not assign your rights or obligations under these Terms without our prior written consent.
